This Non-Disclosure Agreement ("Agreement") and Data Safety Contract is made and entered into between Simpld, hereinafter referred to as "Provider", and the undersigned clients – Doctors, Clinics, hospitals & clinic owners, hereinafter referred to as "Client".
Provider and Client acknowledge and agree that certain confidential information may be disclosed to Provider in relation to the use of the Simpld patient and clinic management software. This Agreement sets forth the terms and conditions under which Provider will handle and protect such confidential information.
"Confidential Information" refers to any and all data, information, and materials shared by Client with Provider for the purpose of using Simpld, including but not limited to patient records, clinic operations data, and related information.
Provider acknowledges that all data entered into the Simpld system, including patient records and clinic-related data, remains the exclusive property of Client. Provider shall not use, disclose, or reproduce any such data for any purpose other than the provision of services as outlined in the agreement between Provider and Client.
Provider agrees to implement and maintain rigorous security measures to ensure the protection of Client's data. This includes encryption, access controls, and regular security audits to prevent unauthorized access, data breaches, or any form of misuse.
Provider shall not, at any time during or after the term of this Agreement, disclose any Confidential Information to any third party without the prior written consent of Client. Provider shall use the Confidential Information solely for the purpose of providing the agreed-upon services and shall take reasonable measures to prevent unauthorized disclosure or use.
Provider agrees not to use any of the patient or clinic data provided by Client for any purpose other than providing the services under this Agreement. Provider shall not use the data to develop or improve any products or services without permission from Client.
This Agreement shall commence upon the effective date of the agreement between Provider and Client and shall continue for the duration of the engagement. Upon termination of the engagement, Provider shall promptly return or destroy all Confidential Information and any copies thereof.
